In case of director of the subsidiary company not the wholly owned subsidiary company, and if authorized by the constitution of the company to exercise his power then director must act in the good faith and best interest of the holding company even that act contradict with the interest of the company. In case when director is carrying out any kind of joint venture between the shareholders or company, and for performing his duties related to joint venture, he is expressly authorized by the constitution of the company. Then in such case director must act in the good faith and best interest of the shareholder even that act contradict with the interest of the company (Companies Act 1933, n.d.). Section 135 of the Companies Act 1933 defines that directors of the company must not conduct the affairs of the company in such a way that create or cause to create any substantial risk to the creditors of the company (Companies Act 1933, n.d.). Principle of corporate governance described the board performance and composition. All directors of the company except those who are permitted by law and disclosed to the shareholders of the company must act in the best interest of the company. Every company must have the charter which states and defines the roles, responsibilities and duties of the director. It is necessary that board confirms that directors are fulfilling their duties in effective way (Institute of Directors, n.d.). It is necessary that directors ensure the proper structure of the Board for maintaining skills, knowledge, and experience in their board. Size of the board of directors of the company will rely on the factors like need of the company, nature of the company, and maturity. For the effective running of the company it is necessary that board has skill, knowledge and experience. Members of the board take collective decision by thinking and contribute expertise outside of their own areas. Therefore, it is necessary that board of the company comprise the best to attain the company goals, and also ensure the monitoring of the operations of the company. An individual must join the board only when he has competencies related to business, strategic, analytical and knowledge, and he also has ethical and personal qualities. For the continuous development of the company it is necessary that person must have knowledge competencies and these requirements are changed according to the company to company (Code of Practice for directors, n.d.). In the present case of Fonterra, company reviews its governance structure for the first time in 2013. After making review on the present structure of the company, and after proposed changes in accordance with corporate governance company asking for the feedback of the farmer owners. Company make following proposals: Reduced the size of the Board: Company decide to reduce the size of the board from 13 to 11, and proposed to remove 2 independent directors of the board. According to the research of the company there is no right number for the composition of the board. It was concluded from the research that smaller groups are more effective in taking decisions, and they are more efficient in creating the environment in which members make efficient decision, involve personally, and this increases personal accountability. The main issue in the strategy of the company is removal of independent directors from the board. The proposal of the company was supported by 50%, but board did not get vote from 75% shareholders of the company. According to the principal of corporate governance issued by FMA, Company must have board that has appropriate balance of executive and non executive directors, and board also has independent directors. In this case, if proposal of directors were approved by the shareholders then in such case Board of the company will reduce its independency (Fonterra, 2016). According to the Board of directors of the company these changes are made to make the board more efficient, and remove the unsuitable candidates from the board. Directors also changed the eligibility criteria for the farmer directors, and also proposed to allowed modern farmer ownership structures. These proposed changes help the directors in discharging their duties effectively and take decisions in the best interest of the company. These changes mainly focus on increasing the power of board in the company, and also board monitor the performance of the management of the company. Through these changes company wants to introduce skill and experience in their board, and wants to give power in the hands of farmer. Company also introduces new selection process for the board which increased the importance of farmers in the company. For the farmer directors company introduce the single transferable vote system (STV), and for independent directors they introduce pure board appointment process. Through these changes board strengthening the position of farmers in the company, following proposed changes are there which increase the control of farmers in company: Farmers can elect councilor on SHC to represent their matter. They can elect farmer directors through STV process. Ratify the appointment of independent directors. Farmers have the power to propose and pass resolution which is non-binding related to management of the co-op. They can call a special meeting of shareholders. Farmers can remove the directors of the company at any time. Farmers can control the constitution of the company. Through these powers company give control in the hands of the farmers, and also increase the efficiency of the board. the main of these proposed changes are Fonterra wants to strengthen itsgovernance and representation to ensure it can meetgoals including lifting the volume it collects to 30 billion liters of milk both in New Zealand and in overseas markets from 22 billion liters now, and driving revenue to $35 billion over the next decade from $18.8 billion. A poet's task is to write poetry that the reader can identify with, something congruent with the thoughts of those he is writing for (or to). If this can be accomplished, a connection is established, and poetry can act as a catalyst to initiate the imagination. In my first paper this semester I argued that Whitman uses sexual imagery as a rhetorical tool to arouse the reader. The result of this is congruent emotions within poet and reader that demonstrate an effective use of tone, through which Whitman can address the reader. "The mystic deliria, the madness amorous, the utter abandonment,/ (Hark close and still what I now whisper to you" (77). Whitman is specking directly to the reader, through an all-encompassing god-like persona. In "Song of Myself" Whitman reinvents himself as all of reality, and through the use of tone and imagery (shot establishes a relationship) draws the reader into his world. Williams' poetry is an attempt to establish a communion, of sorts, with the reader, as well. His poetry is an exploration of momentary images, a jagged journey through personal perception, that the reader can relate to. Williams' diction and visual presentation of words resists the artificial; his poetry has a rhythm that is natural and American, a gregarious appeal to the common man. In Spring and All Williams creates a persona that is appealing, establishing a relationship and affecting the reader. Both Whitman and Williams create a harmony between themselves and the reader that suggests the universality of experience. The creation of an acceptable persona is essential to Whitman's poetic program. In "Song of Myself" this is accomplished through a congenial style that consists of unbridled enthusiasm, a friendly voice; an image emerges of Whitman shouting at the reader, saying "Look what I've discovered!": "Stop this day and night with me and you shall possess the origin of all poems,/ You shall possess the good of the earth and sun" (25). His poetry is often conversational, lacking a highly structured form. From the beginning of "Song of Myself" it is clear that the poem is not merely a static, decorative creation, but that it is an act of communication between the poet and reader. When Whitman writes "what I assume you shall assume,/For every atom belonging to me as good belongs to you" (23), he implies a meeting of minds; not only is he going to address us but he is going to persuade us' because, he argues, we are all the same. He establishes a persona by not only speaking to us, but for us. Whitman becomes one with his audience, the American people' by presenting himself as the "archetypal average American" (xxvii). The persona that one senses emerging from Williams in Spring and All is a justified arrogance, a writer that will completely ignore convention in order to establish a tone. His mixture of verse and prose suggests a pragmatic technique, a willingness to use whatever means necessary to connect with the reader. In "Flight To the City," he explores imaginative associations connected with the night sky, and follows it with the statement, "So long as the sky is recognized as on association" (187). He speaks to the reader with sincerity, with an enthusiasm that often descends into madness: If I could say what is in my mind in Sanscrit or even Latin I would do so. But I cannot. I speak for the integrity of the soul and the greatness of life's inanity; the formality of its boredom; the orthodoxy of its stupidity. Kill! Kill! let there be fresh meat . . . (179) Spring and All is a map of Williams' imagination, a collection of poems cemented by "prose" explanation. Audiences are not only entertained Essay For centuries, drama has acted as a mirror for culture and society. Through the power of dramatic form, we have been invited to be entertained yet also engaged in the social concerns, which can both be provocative and surprising. Both Stolen by Jane Harrison and A Beautiful Life by Michael Futcher and Helen Howard address contemporary social concerns and issues in Australian society. Stolen employs dramatic styles, techniques and conventions to portray the social issues caused by the stolen generation. On the other hand, A Beautiful Life again employs dramatic styles, techniques and conventions to portray the unforgettable story of a refugee family who escaped the hardships of Tehran Jail, only to find themselves suffering racism and injustice in the High Court of Australia. Stolen addresses the Stolen Generation and the social concerns surrounding the impact of individuals and the Indigenous community. Harrison splits up the action between five diverse characters, tracing their independent stories from childhood to adulthood. We have the sexually and physically abused (Ruby); the hopeful turned hopeless (Jimmy); the stolen child who in turn has her children stolen from her (Shirley), the lost (Sandy) and the black girl in a white mans world (Anne). In a workshop of the opening scene, Arriving (pg. 1) in which the characters speak in the stream of conscious style the difference in what each actor produced to portray their particular character was very noticeable. Harrisons use of a wide breadth of characters is effective in reflecting the broad spectrum of social concerns the Stolen Generation faced: physical, sexual and mental abuse, I promised not to tell (Ruby: pg. 8); high suicide and depression rates, I cant fight (Jimmy: pg. 34); cultural loss, Who do you think you are? (Voices: 29); loss of belonging, Always on the run (Sandy: pg. 3) and loss of family, This time Im going to hold my baby and never let go (Shirley: 2). Stolen uses absurdist techniques, including a non-linear and episodic plot  structure and undefined place and time to convey the disconnection and lost culture that has resulted within the Indigenous community as a result of the Stolen Generation. The dialogue closely follows the conventions of spoken language creating a sense of realism to the audience, to emphasis the fact that these events did happen and cannot be reversed. One of the most typical techniques with Stolen is the use of monologues. The experiences of each child are portrayed through these monologues the delivery indicates how these experiences are traumatic and a fundamental part of their psyche that is not easily spoken about through normal conversation. Through a class workshop I was able to watch a class mate act Jimmys monologue Racist Insults'(pg. 33-34). I found this scene particularly engaging because we are not only watching a young man end his life, but we watch a fraction of how our White Australians treated the Indigenous. The audience gets a first hand view of the racism and abuse copped by most Indigenous Australians, this scene shines a direct light on the hardships we put forward onto our Indigenous and why a whole culture is missing from our nation. While Stolen deals with how we treat our Indigenous, A Beautiful Life cover the social issues surrounding refugees and the ignorance of Australian people regarding human rights. This play covers the period when 5000 Mojahedin freedom fighters were killed by Irans government regime. The play interweaves the experiences of Hamid: his torture in jail in Tehran and witnessing human rights abuses before making a dramatic escape to Australia; and his arrest and trial following a protest outside of the Iranian Embassy in Canberra in 1992. Hamid, his wife Jhila and their son Amir who represent refugee culture are represented in the court by Australian lawyers Brendon OSullivan and Stephanie James. Both present the Australian culture as being ignorant bloody Arabs (pg. 21), racist a bunch of Muslim fanatics (pg. 7) and stereotypical ranting bloody slogans to Allah (pg. 7). Futcher and Howard emphasis the un-empathetic nature, stereotypical and racist culture of Australians through Stephanie and Brendan. Amir (Hamids son) makes the perfect narrator as he grows and develops through the play from a young Iranian boy into a 20 year old Iranian/Australian who can believable comment on both countries. The character of Amir has humour Shes Irish, she can get really angry (pg. 41), compassion, Its all  right, Mum (pg.11) and a desire to tell the story of his Iranian/Australian family, What about the Boltons, Dad? (pg. 13). Brechtian techniques such as the used of a non-linear and episodic storyline, as well as historification and the breaking of the forth wall (through Amir) give insight into contrasting cultures and systems of justice. The use of performance styles, such as physical theatre, engage the audience so that the play has heighten reality: allowing the audience to follow Hamid, through the racism, prejudice and his lack of human rights. The use of dramatic dialogue allows the characters in A Beautiful Life, persuade, argue, threaten, provoke and inspire the audience. Language techniques include the use of the Farsi accent or clipped tone to lend authenticity to the Iranian feel of the text and of course to show the reactions of Australians represented by Brendan and Stephanie when the characters speak their mother tongue. I first encountered the use of the accent when acting the character of Jhila in _SCENE FIVE,_ I feel as an actor that use of accent does add authenticity and a sense of realism throughout the scenes making it easier for the audience to connect with the character rather than the actor. Through the power of dramatic form, we have been invited to be entertained yet also engage in the social concerns explored throughout Stolen and A Beautiful Life. Through the performance of scenes in workshop activities and in-depth study of both texts, I have come to understand the styles, form and conventions Harrison, Futcher and Howard use to convey their points of view. Whilst Stolen uses absurdism to portray the social issues caused by the stolen generation, A Beautiful Life uses Brechtian techniques to portray the unforgettable story of a refugee family who escaped the hardships of the pain and suffering caused by the Stolen Generation on both the personal and societal side Tehran Jail, only to find themselves suffering racism and injustice in the High Court of Australia. On a final note both composers worked well using dramatic forms, techniques and conventions to engage the audience to understand the social concerns explored in the plays.

As children, most individuals can recall their parents sitting them down to talk about certain situations in order to give them a bit of advice. Maybe, the majority of the time, the advice may have been for their best interest and at other times just out of simple care. Yet, no matter the reason, it was done for guidance and out of love. Many times children seem to overlook the advice and wisdom of their parents, only to find their best efforts to make choices harder than expected and not as productive as they may have hoped. Yet, there are†¦show more content†¦It creates an image as though a parent has walked in the room and noticed a bit of complexity to the face of their child. It sets a stage that instantly starts one’s mind to imagine themselves in that scene. It follows with a contradictory statement that has an undertone of carefulness, â€Å"for they go fast, and young men lose their lives in strange and unimaginable ways† (Meinke 447). This is a complete contradiction to the first two lines of the poem that insist that a person should be adventurous and wild, to utterly enjoy one’s life to the fullest of their ability and definitely not to be cautious. But, Professor Meinke continues this type of contradictory style throughout the poem. A few lines will set a precedence of a valued thought and then it is followed with something of the same nature, but clearly from the opposite end of the moral spectrum. The next lines of the first verse continues with the same type of contradictory style that adds to the advice of caution even deeper, â€Å"But at the same time, plan long range (for they go slow: if you survive the shattered windshield and the bursting shell you will arrive at our approximation here below heaven or hell)† (Meinke 447).
